Commercial Terms & Conditions

1. Application of Terms
All services provided by Flowstate Logistics Pty Ltd (“Flowstate Logistics”, “we”, “our”) are subject to these Commercial Terms and any applicable Master Services Agreement.
No services will be provided unless:
- A written quote is accepted;
- A Master Services Agreement is executed; and
- Payment is received in full (unless otherwise agreed in writing).
2. Nature of Services
Flowstate Logistics provides container hire coordination and freight arrangement services within Australia.
We act as a commercial coordinator and intermediary. Containers remain the property of the supplying owner at all times.
Transport and storage services are performed by third-party providers.
3. Quotes and Pricing
Quotes are:
- Valid for the period stated;
- Subject to supplier availability;
- Subject to change if supplier rates change prior to booking confirmation.
A booking is not confirmed until payment is received and supplier confirmation is secured.
4. Payment Terms
Payment is required in full prior to delivery unless otherwise agreed in writing.
For ongoing hire arrangements:
- Hire renews monthly;
- Billing occurs in advance on the 1st day of each calendar month;
- Failure to pay renewal charges may result in suspension of services and recovery of equipment.
No set-off or withholding of payment is permitted.
5. Cancellation
Cancellation fees may apply once a booking has been confirmed with a supplier.
Where supplier cancellation fees are incurred, these will be passed through to the client.
6. Delivery and Site Responsibility
The client is responsible for ensuring:
- Adequate site access for heavy vehicle delivery;
- Stable and level ground suitable for container placement;
- Absence of underground services in the placement area;
- Safe clearance of overhead obstructions.
If delivery cannot proceed due to site conditions, waiting time, redelivery and related charges may apply.
7. Container Condition
Containers supplied are typically used unless otherwise specified.
Containers are supplied wind and water resistant but may exhibit cosmetic wear consistent with prior use.
8. Storage
Where Flowstate Logistics arranges third-party storage:
- Risk remains with the client;
- Flowstate Logistics is not liable for acts or omissions of storage providers.
9. Limitation of Liability
To the maximum extent permitted by law:
- Flowstate Logistics’ liability is limited to the total fees paid for the relevant service;
- We exclude liability for indirect or consequential loss, including loss of profits, revenue, opportunity or delay-related losses.
Nothing in these terms excludes liability that cannot be excluded under the Australian Consumer Law.
10. Third-Party Providers
Flowstate Logistics coordinates third-party transport and storage providers.
We are not liable for:
- Acts or omissions of third-party providers;
- Delays caused by third parties;
- Weather events;
- Force majeure events beyond reasonable control.
11. Governing Law
These Terms are governed by the laws of Queensland, Australia.
12. Amendments
These Terms may be updated from time to time. The current version will be published on our website.
